Siemens Energy schließt Übernahmeangebot für ausstehende Aktien der Minderheitsaktionäre von Siemens Gamesa erfolgreich ab
Die Siemens Energy AG (Siemens Energy) hat das freiwillige Übernahmeangebot für die ausstehenden Aktien an Siemens Gamesa Renewable Energy, S.A. (SGRE) mit einer Annahmequote von 77,88 Prozent abgeschlossen. Das entspricht 174.686.626 Aktien, die von den Minderheitsaktionären von SGRE zu einem Angebotspreis von 18,05 Euro pro Stück verkauft wurden. Damit steigt der Anteil von Siemens Energy am Grundkapital von SGRE auf 92,72 Prozent. Mit dem Abschluss der Transaktion strebt Siemens Energy an, die spanische Windkrafttochter von der Börse zu nehmen (Delisting). Dieser Schritt wird dazu beitragen, Prozesse zu vereinfachen und sich auf den operativen Turnaround des Siemens-Gamesa-Geschäfts zu konzentrieren. Siemens Energy AG (Siemens Energy) concludes the acceptance period of the voluntary cash tender offer for the outstanding shares in Siemens Gamesa Renewable Energy, S.A. (SGRE) with an acceptance rate of 77.88 %. This corresponds to 174.686.626 shares tendered by SGRE’s shareholders at the fixed offer price of €18.05 per share. As a result, Siemens Energy’s total shareholding in SGRE will amount to 92.72%. Following the expected settlement of the offer, Siemens Energy pursues the delisting of SGRE from the Spanish stock exchanges.
